IMPORTANT LEGAL NOTICE: BY ACCESSING OR USING THE SITE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION, A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, AND LIMITATIONS ON LIABILITY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SITE.

 

Introduction

The Qixit.com and 2WayMicropay.com websites (collectively, the “Site”) are owned and operated by Qix Information Technologies LLC, a Florida limited liability company (“Qixit,” “we,” “us,” or “our”). “Qixit,” “PayMail,” and “2WayMicropay” and variants such as “2-Way Micropay” and related marks are trademarks of Qix Information Technologies LLC.

These Terms of Use (“Terms”) govern your access to and use of the Site. “You” and “your” mean any person or entity accessing or using the Site, whether as a visitor, registered user, subscriber, or any other capacity.

If you subscribe to the Qixit messaging and payment service (the “Qixit Service”), your use of that service is also governed by the applicable Qixit Service Agreement. In the event of any conflict between that agreement and these Terms, the Qixit Service Agreement controls with respect to the Qixit Service.

Your continued use of the Site following any modification to these Terms constitutes your binding acceptance of the revised Terms. We reserve the right to modify these Terms at any time in our sole discretion. We will post the updated Terms with a revised “Last Updated” date. It is your responsibility to check this page periodically for changes.

 

1. Limited License

Subject to your compliance with these Terms, Qixit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for lawful personal or internal business purposes related to evaluating or using the Qixit Service.

This license does not include any right to:

  • Reproduce, distribute, or create derivative works from the Site
  • Commercially exploit any portion of the Site
  • Use the Site for any purpose other than as expressly authorized

 

We may, at our sole discretion and without prior notice or liability, suspend, restrict, or permanently terminate your access to the Site at any time, for any reason or no reason. Upon termination, all rights granted to you under these Terms immediately cease and you must destroy any downloaded or printed materials.

 

2. Acceptable Use Restrictions

You agree not to, directly or indirectly:

  • Access or attempt to access non-public areas of the Site or its infrastructure
  • Circumvent, disable, or otherwise interfere with security features of the Site
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Site
  • Use scraping, bots, crawlers, spiders, data mining tools, or automated systems to access or collect data from the Site (except compliant search engine indexing)
  • Frame, mirror, or deep-link to the Site without our express written consent
  • Use our trademarks, logos, or branding without our prior written permission
  • Interfere with, disrupt, or damage the Site, servers, or networks connected to the Site
  • Introduce malware, viruses, Trojan horses, ransomware, or any other malicious or harmful code
  • Impersonate any person, entity, or Qixit employee
  • Use the Site to collect personal information about other users without their consent
  • Use the Site in violation of any applicable federal, state, local, or international law or regulation
  • Attempt to probe, scan, or test the vulnerability of the Site

 

We reserve the right to investigate and prosecute violations to the fullest extent permitted by law. We may cooperate with law enforcement authorities in prosecuting users who violate these Terms.

 

3. Intellectual Property

All content, software, designs, trademarks, logos, text, graphics, user interfaces, visual interfaces, photographs, sounds, artwork, computer code, and other materials on the Site (collectively, “Content”) are owned exclusively by Qixit or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws.

No rights in or to the Content are granted to you except as expressly stated in these Terms. Any unauthorized use of the Content may violate copyright, trademark, and other applicable laws and could result in civil and/or criminal penalties.

 

Feedback Assignment

If you provide any suggestions, ideas, enhancement requests, feedback, recommendations, or other content regarding the Site or the Qixit Service (collectively, “Feedback”), you hereby irrevocably assign to Qixit all worldwide right, title, and interest in and to such Feedback, including all intellectual property rights therein. Qixit may use such Feedback for any purpose without restriction or compensation to you.

 

Patent Rights

The technology underlying the Qixit Service is protected by multiple patents, including U.S. Patent Nos. 7,873,572; 8,346,660; 8,352,364; 8,799,164; Japan Patent 2007-500953; Indonesia Patent W00 2006 02343; EPO Patent 1721292; RUS Patent 2380754; and additional U.S. and foreign patents pending. Unauthorized use of patented technology may subject you to civil and criminal liability.

 

4. User Representations, Warranties & Indemnification

Representations and Warranties

By accessing or using the Site, you represent and warrant that:

  • You are at least 18 years of age or the legal age of majority in your jurisdiction
  • You have the legal capacity and authority to enter into these Terms
  • You are not located in a jurisdiction subject to a U.S. government embargo or designated as a “terrorist supporting” country
  • You are not listed on any U.S. government prohibited or restricted parties list
  • Any information you submit to the Site is accurate, current, and complete
  • Your use of the Site does not violate any applicable law or regulation
  • Your use of the Site does not infringe or misappropriate any third-party rights

 

Indemnification

You agree to defend, indemnify, and hold harmless Qixit and its officers, managers, members, employees, contractors, suppliers, licensors, successors, and assigns (collectively, “Qixit Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to:

  • Your access to or use of the Site
  • Your violation of these Terms
  • Your violation of any applicable law, rule, or regulation
  • Your infringement of any third-party intellectual property or other rights
  • Any content or information you submit, post, or transmit through the Site
  • Any dispute between you and any third party

 

Qixit reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with Qixit in asserting any available defenses.

 

5. Third-Party Links and Content

The Site may contain links to third-party websites, services, or resources (“Third-Party Sites”). These links are provided solely for your convenience. Qixit does not control, endorse, or assume any responsibility for Third-Party Sites, their content, privacy policies, or practices. Your access to and use of Third-Party Sites is entirely at your own risk and subject to the terms and conditions of those sites.

We encourage you to review the terms and privacy policies of any Third-Party Sites you visit. The inclusion of any link to a Third-Party Site does not imply our endorsement or any association between Qixit and the operators of such site.

 

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QIXIT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

 

Specifically, but without limitation, Qixit does not warrant that:

  • The Site will meet your requirements or expectations
  • The Site will be available, uninterrupted, timely, secure, or error-free
  • Results obtained from use of the Site will be accurate, reliable, or complete
  • Any errors or defects in the Site will be corrected
  • The Site or the servers that make it available are free of viruses or other harmful components

 

Some jurisdictions do not allow the exclusion of certain warranties. If these laws apply to you, some of the above exclusions may not apply, but only to the minimum extent required by such laws.

 

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY QIXIT PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

IN NO EVENT SHALL QIXIT’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED FIVE U.S. DOLLARS (US $5.00), REGARDLESS OF THE LEGAL THEORY ASSERTED.

 

The foregoing limitations apply regardless of the form of action (whether in contract, tort, negligence, strict liability, or otherwise) and whether or not Qixit has been advised of the possibility of such damages. These limitations are a fundamental element of the basis of the bargain between Qixit and you.

Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, liability is limited to the greatest extent permitted by law.

 

8. Dispute Resolution and Arbitration

Mandatory Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this arbitration agreement (collectively, “Dispute”), shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association (“AAA”) under its then-current Commercial Arbitration Rules, rather than in a court of law.

Arbitration shall take place in Santa Rosa County, Florida, unless you and Qixit agree otherwise. The arbitrator shall apply Florida law consistent with the Federal Arbitration Act. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

The arbitrator will have authority to award any remedy or relief that a court of competent jurisdiction could order or grant, including injunctive relief. The arbitrator’s award shall be final and binding on all parties.

 

Informal Dispute Resolution

Before initiating arbitration, you agree to first contact Qixit in writing describing the Dispute and your desired resolution. Qixit will have thirty (30) days to respond. If the Dispute is not resolved within sixty (60) days of your notice, either party may proceed to arbitration.

 

Class Action and Collective Action Waiver

YOU AND QIXIT AGREE THAT ALL CLAIMS SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN, BRING, MAINTAIN, OR RECOVER UNDER ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR ENTITY AND MAY NOT PRESIDE OVER ANY FORM OF CONSOLIDATED, CLASS, OR REPRESENTATIVE PROCEEDING. IF A COURT FINDS THIS WAIVER UNENFORCEABLE, THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID.

 

Jury Trial Waiver

TO THE EXTENT ANY DISPUTE IS PERMITTED TO BE HEARD IN COURT, YOU AND QIXIT IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL. ALL SUCH DISPUTES SHALL BE RESOLVED SOLELY BY A JUDGE.

 

Exception for Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or enjoin infringement of intellectual property rights, misappropriation of confidential or proprietary information, unauthorized access to the Site, or breach of any obligation of confidentiality.

 

Costs of Arbitration

Each party shall bear its own arbitration costs, except that if you prevail on any claim where you sought less than $10,000, Qixit will pay all AAA filing, administration, and arbitrator fees. If Qixit prevails, and the arbitrator finds your claim was frivolous, you shall reimburse Qixit for all costs of arbitration.

 

9. DMCA Copyright Policy

Qixit respects intellectual property rights. If you believe material on the Site infringes your copyright under the Digital Millennium Copyright Act (“DMCA”), please submit a written notice to our designated DMCA Agent containing all of the following:

  • Your physical or electronic signature (or that of a person authorized to act on behalf of the copyright owner)
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the allegedly infringing material and its location on the Site
  • Your contact information: address, telephone number, and email address
  • A statement that you have a good faith belief that the use is not authorized by the copyright owner, its agent, or the law
  • A statement under penalty of perjury that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

Upon receipt of a compliant notice, Qixit will act expeditiously to remove or disable access to the allegedly infringing content. Qixit may provide the alleged infringer with your contact information. Repeat infringers will have their accounts terminated.

Counter-Notification: If you believe content was removed in error, you may file a counter-notification pursuant to 17 U.S.C. § 512(g), containing: your signature, identification of the removed material, a statement under penalty of perjury that the removal was a mistake, your contact information, and consent to jurisdiction of the federal court in the district where you reside.

 

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Florida and applicable U.S. federal law, without giving effect to any conflict-of-law principles that would require application of the laws of a different jurisdiction.

Subject to the mandatory arbitration provision above, any permitted court action shall be brought exclusively in the state or federal courts located in Santa Rosa County, Florida. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection thereto, including any claim of inconvenient forum.

 

11. Force Majeure

Qixit shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God; natural disasters; fires; floods; earthquakes; epidemics or pandemics; war; terrorism; civil unrest; labor disputes; government actions or orders; embargoes; internet or telecommunications outages; infrastructure failures; or cyberattacks. In such events, Qixit’s obligations shall be suspended for the duration of the force majeure event and Qixit will use commercially reasonable efforts to resume performance as soon as practicable.

 

12. Electronic Communications Consent

By using the Site, you consent to receive electronic communications from Qixit, including notices, disclosures, agreements, and other information. You agree that all communications provided electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

 

13. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms, by operation of law or otherwise, without Qixit’s prior written consent. Any purported assignment in violation of this section is null and void.

Qixit may freely assign these Terms, in whole or in part, without restriction or prior notice, including in connection with any merger, acquisition, reorganization, or sale of all or substantially all of its assets.

 

14. Time Limitation on Claims

YOU AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES OR SUCH ACTION IS PERMANENTLY AND IRREVOCABLY BARRED. This limitation applies to all claims and causes of action regardless of the legal theory. This limitation is in addition to, and does not extend, any shorter limitation period that may apply under applicable law.

 

15. General Provisions

Entire Agreement

These Terms, together with any other agreements or policies expressly incorporated herein by reference, constitute the entire agreement between you and Qixit with respect to the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties with respect thereto.

 

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall remain in full force and effect.

 

No Waiver

Qixit’s failure or delay in exercising any right, power, or remedy under these Terms shall not operate as a waiver of such right, power, or remedy. No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise thereof or the exercise of any other right, power, or remedy.

 

Attorneys’ Fees

In any dispute arising under these Terms where Qixit is required to enforce these Terms or defend a claim brought by you, and Qixit substantially prevails, you agree to pay Qixit’s reasonable attorneys’ fees, court costs, and other litigation expenses.

 

Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

 

No Third-Party Beneficiaries

These Terms are for the sole benefit of Qixit and you. Nothing in these Terms, express or implied, is intended to or shall confer upon any third party any legal or equitable right, benefit, or remedy.

 

Export Controls

You agree to comply with all applicable U.S. export control laws and regulations. You represent that you are not a national of any country subject to U.S. economic sanctions and that you are not otherwise prohibited from receiving or using the Site.
