QIX™ LEGAL DOCUMENT SUITE — INCORPORATED BY REFERENCE

This document is part of the Qix™ legal document suite. By using any Qix™ service or software you agree to ALL of the following documents, each incorporated herein by reference: Terms of Use; Service Agreement; Redemption Program Terms; Privacy Policy; Earnings Disclaimer. Precedence on conflict: Terms of Use → Service Agreement → Redemption Program Terms → Software License / Privacy Policy / Earnings Disclaimer. For cash conversion of Qixit Credits, the Redemption Program Terms control over the Service Agreement.

Qix Information Technologies LLC issues a proprietary platform reward point called Qix Credits™ (also referred to herein as ‘Credits’ or ‘Qixit Credits.’). All references to ‘Credits’ in this Service Agreement refer to Qix Credits.

PLEASE READ THIS LICENSE CAREFULLY. BY DOWNLOADING, INSTALLING, OR USING THIS SOFTWARE YOU AGREE TO BE BOUND BY THIS LICENSE AND BY ALL OTHER DOCUMENTS IN THE QIX™ LEGAL SUITE LISTED ABOVE. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.

This Qixit™ Email Client Software License (“License”) governs your use of the Qixit client software (the “Qixit Software”) and accompanying documentation (“Documentation”). Your use of the Qixit website is governed by the Terms of Use. Your use of the Qixit Service is governed by the Service Agreement. Cash conversion of Qixit Credits™ is governed by the Redemption Program Terms. The collection and use of your personal information is governed by the Privacy Policy. All four documents are incorporated herein by reference. Except as specifically identified herein, this License does not supersede any other written agreement between you and Qixit.

1. License Grant

Subject to the terms and conditions of this License, the Terms of Use, the Service Agreement, and the Privacy Policy (all incorporated herein by reference), Qix Information Technologies LLC (“Qixit”) hereby grants you a limited, non-exclusive, non-transferable license to: (a) install and use the executable object code version of the Qixit Software within the United States; and (b) use the Documentation accompanying the Qixit Software, whether in hard copy or electronic form, within the United States.

The rights granted in this License are limited to Qixit’s and its licensors’ intellectual property rights in the Qixit Software and Documentation and do not include any other patents or intellectual property rights. You own the media on which the Qixit Software is recorded, but Qixit retains all ownership of the Qixit Software and Documentation itself.

2. Restrictions and Updates

The license granted in Section 1 extends only to you. You agree not to:

Reproduce the Qixit Software or Documentation except as incidental and necessary for installation and use
Permit any third party to use or access the Qixit Software or Documentation
Create derivative works based on the Qixit Software or Documentation
Modify, reverse engineer, translate, disassemble, enable disabled features, or decompile the Qixit Software
Remove any title, trademark, copyright, or restricted rights notices or labels
Install or use the Qixit Software on hardware other than compatible hardware expressly identified by Qixit
Rent, lease, lend, or sublicense the Qixit Software or Documentation
Make the Qixit Software available over a network where it could be used by multiple computers simultaneously
Distribute the Qixit Software or Documentation to any third party

Qixit has no obligation to provide upgrades, updates, patches, corrections, enhancements, or modifications to the Qixit Software or Documentation, or to correct any errors or defects.

3. Title and Intellectual Property

Title to the Qixit Software and Documentation, including all copies, is owned exclusively by Qixit and/or its licensors. All intellectual property rights — including all patents, copyrights, trademarks, and trade secrets — are and shall remain the property of Qixit and/or its licensors. The Qix™ suite technology is protected by U.S. Patent Nos. 7,873,572; 8,346,660; 8,352,364; 8,799,164; Japan Patent 2007-500953; Indonesia Patent W00 2006 02343; EPO Patent 1721292; RUS Patent 2380754; and additional U.S. and foreign patents pending.

4. Confidentiality

All Qixit Software and Documentation shall be considered Qixit’s confidential trade secret information (“Confidential Information”). You agree not to: (a) use Confidential Information other than for purposes expressly authorized in this License; or (b) disclose Confidential Information to any third party. “Confidential Information” does not include information that: (i) is or becomes part of the public domain through no act or omission of yours; (ii) was known to you prior to Qixit’s disclosure without restriction; or (iii) is lawfully disclosed to you by a third party without restriction.

5. Limited Warranty and Disclaimer

5.1 Limited Warranty

If you obtained the Qixit Software on media provided by Qixit, Qixit warrants that such media shall be free from defects in materials and workmanship under normal use for ninety (90) days from the date of original delivery (the “Warranty Period”).

5.2 Sole and Exclusive Remedy

The limited warranty in Section 5.1 is the only warranty made to you. In the event of a breach, Qixit’s sole liability and your sole exclusive remedy is replacement of the Qixit Software, provided you notify Qixit before expiration of the Warranty Period.

THE LIMITED WARRANTY IN SECTION 5.1 AND ANY IMPLIED WARRANTIES ON THE MEDIA — INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, AND FITNESS FOR A PARTICULAR PURPOSE — ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF ORIGINAL DELIVERY.

5.3 Disclaimer of Warranties

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 5.1, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE QIXIT SOFTWARE AND DOCUMENTATION ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. QIXIT DISCLAIMS ALL WARRANTIES — WHETHER EXPRESS, IMPLIED, ORAL, OR WRITTEN — INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, REASONABLE CARE, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, TITLE, AND NON-INFRINGEMENT.

6. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL QIXIT OR ITS LICENSORS BE LIABLE FOR PERSONAL INJURY OR FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR CONNECTED WITH THIS LICENSE, THE QIXIT SOFTWARE, OR THE DOCUMENTATION, WHETHER FOR BREACH OF CONTRACT, IN TORT, OR OTHERWISE, EVEN IF QIXIT IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL QIXIT’S TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED FIFTY U.S. DOLLARS ($50.00). THE FOREGOING LIMITATIONS APPLY EVEN IF THE REMEDY IN SECTION 5.2 FAILS OF ITS ESSENTIAL PURPOSE.

7. Risk Allocation

You acknowledge that the provisions of Sections 5 and 6 represent a reasonable allocation of risks under this License. Qixit’s willingness to distribute the Qixit Software and Documentation to you reflects this allocation of risk.

8. Term and Termination

8.1 Term

This License commences on the date you first download, install, or use the Qixit Software and continues until terminated as provided in Sections 8.2 or 9.

8.2 Termination for Breach

Qixit may terminate this License immediately upon notice if you fail to comply with any term. Termination does not limit any other right or remedy Qixit may have.

8.3 Duties upon Termination

Upon termination, you agree to: (a) immediately cease using all Qixit Software and Documentation; and (b) delete and destroy all copies of the Qixit Software and Documentation in your possession or control.

9. Infringement

If the Qixit Software or Documentation, or your use thereof, becomes or may become the subject of a third-party infringement claim, Qixit may, in its sole discretion: (a) procure for you the right to continue using the relevant portion; (b) replace it with a non-infringing alternative; (c) modify it to become non-infringing; (d) remove the affected portion; or (e) terminate this License without liability to you.

10. General Provisions

10.1 Entire License; Amendment

This License constitutes the entire agreement between the parties with respect to the Qixit Software and supersedes all prior agreements regarding such subject matter, with the exception of the Terms of Use, the Service Agreement, the Redemption Program Terms, and the Privacy Policy, all of which continue to apply to your use of the Qixit platform and services. No amendment to this License will be binding unless in writing and signed by Qixit.

10.2 Governing Law and Jurisdiction

This License is governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law principles. The UN Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transaction Act are expressly excluded. You consent to exclusive jurisdiction and venue in the federal or state courts of Santa Rosa County, Florida. Any cause of action must be commenced within one (1) year after it arises.

10.3 Assignment

You may not assign or transfer this License or any rights hereunder without Qixit’s prior written consent. Any purported assignment without consent is null and void. Qixit may assign this License, in whole or in part, without your consent.

10.4 Construction

Section headings are for convenience only and shall not affect the interpretation of this License. No provision shall be construed against either party by virtue of that party having drafted it.

10.5 Severability

If any provision is found to be illegal, unenforceable, or void, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.

10.6 Cumulative Remedies

Except as expressly provided in this License, no right or remedy is exclusive. All rights and remedies are cumulative and may be exercised concurrently or separately.

10.7 Notices

Qixit may provide notice under this License by sending an email to your last known email address. You may give notice to Qixit at: Qix Information Technologies LLC, 1333 College Pkwy #160, Gulf Breeze, FL 32563, or via customerservice@qixit.net.

10.8 Government End Users

The Qixit Software and Documentation are “Commercial Items” as defined at 48 C.F.R. §2.101. Consistent with 48 C.F.R. §12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, the Qixit Software and Documentation are licensed to U.S. Government end users only as Commercial Items with only those rights granted to all other end users under this License.

10.9 Export Controls

You agree not to export or re-export the Qixit Software without appropriate U.S. or foreign government licenses. The Qixit Software is subject to U.S. export administration regulations and may not be exported to Cuba, Iran, North Korea, Syria, or any other country to which the United States has embargoed goods, or to entities on applicable U.S. government restricted parties lists.

10.10 Privacy

The collection, use, and protection of personal information in connection with your use of the Qixit Software is governed by the Qixit Privacy Policy, which is incorporated into this License by reference. By installing or using the Qixit Software, you consent to the practices described in the Privacy Policy.
