This document is part of the Qix™ legal document suite. By using any Qix™ service or software you agree to ALL of the following documents, each incorporated herein by reference: Terms of Use; Service Agreement; Redemption Program Terms; Software License; Privacy Policy. Qix Information Technologies LLC issues a proprietary platform reward point called Qix Credits™ (also referred to herein as ‘Credits’ or ‘Qixit Credits.’). All references to ‘Credits’ in this Service Agreement refer to Qix Credits.

IMPORTANT: QIXIT CREDITS ARE NOT CASH, INCOME, OR LEGAL TENDER FOR GENERAL PLATFORM USERS. ALL REFERENCES TO CREDIT AMOUNTS IN THIS DISCLAIMER ARE DENOMINATED IN U.S. DOLLARS AND CENTS FOR DISPLAY CONVENIENCE ONLY. PLEASE READ THE SERVICE AGREEMENT FOR A FULL EXPLANATION OF THE NATURE OF QIX CREDITS BEFORE USING THE PLATFORM.

1. Nature of Qix Credits™ — Not Income for General Platform Users

The Qixit™ platform is a proprietary points-based reward and exchange system, as described in full in the Service Agreement. For users who are NOT enrolled in the Qixit Redemption Program, Qixit Credits are platform points expressed in U.S. dollars and cents solely as a display convention. They are not wages, salary, income, cash, legal tender, or any form of monetary compensation. Qixit is not your employer and the credits you earn through the platform do not constitute employment income.

You may earn Qixit Credits™ by accepting delivery of commercial messages, making purchases through the platform, and referring new users under an active referral program. The ability to convert credits to cash is a separate, conditional feature available only to enrolled Redemption Program participants.

IMPORTANT TAX NOTICE FOR REDEMPTION PROGRAM PARTICIPANTS: IF YOU ARE ENROLLED IN THE QIXIT REDEMPTION PROGRAM AND RECEIVE CASH DISBURSEMENTS, THOSE DISBURSEMENTS MAY CONSTITUTE TAXABLE INCOME UNDER APPLICABLE FEDERAL AND STATE TAX LAW. QIXIT WILL ISSUE IRS FORM 1099 TO PARTICIPANTS WHOSE ANNUAL DISBURSEMENTS EQUAL OR EXCEED THE APPLICABLE REPORTING THRESHOLD. YOU ARE SOLELY RESPONSIBLE FOR REPORTING AND PAYING ALL APPLICABLE TAXES ON DISBURSEMENTS RECEIVED. CONSULT YOUR TAX ADVISOR REGARDING YOUR SPECIFIC TAX OBLIGATIONS.

2. How Credits Are Earned from Commercial Messages

You will receive a credit to your Qixit account with every qualifying commercial message delivered to you, at the Delivery Charge rate applicable to that message category. Delivery Charges are initially preset by Qixit during the onboarding period. Once you have established an account history, you may set your own Delivery Charge rates if you choose to use the Qixit™ client software.

The actual credits you receive will depend on:

The Delivery Charge rates you have set for each message category
The volume of advertisers choosing to send messages in your selected categories at your rates
Your account history and engagement record, which affects advertiser targeting decisions
The overall volume of advertising activity on the Qixit platform at any given time
Whether Qixit has applied any temporary rate restrictions during the Beta period

3. No Guarantee of Credit Volume or Value

There is no guarantee that advertisers will deliver commercial messages to your account on any given day, week, or month. Delivery volume depends entirely on advertiser demand, which fluctuates based on market conditions, campaign budgets, and the demographics of users targeted by each campaign.

In particular, you may receive fewer or no commercial messages if:

Your Delivery Charge rates are set higher than advertisers are willing to pay for your demographic profile
You have a limited or poor history of responding to, clicking through, or engaging with commercial messages
Advertisers do not select your demographic profile for a particular campaign
Overall advertising volume on the Qixit platform is low during a given period
Qixit modifies, suspends, or restricts platform features during maintenance or development

We anticipate that users who actively use the Qixit™ platform and develop a consistent history of engaging with commercial messages and making purchases through Qixit will generally accumulate more credits over time. However, this is an expectation based on platform design, not a guarantee of any specific credit amount.

4. Credit Estimates and Examples Are Not Typical

Any credit earnings estimates, examples, projections, or illustrations that appear in Qixit marketing materials, on the Qixit website, or in communications from Qixit or its users are hypothetical examples only. They represent what we believe certain users could earn under favorable conditions, not what a typical user actually earns or can expect to earn.

THERE IS NO ASSURANCE THAT YOU WILL EARN ANY SPECIFIC AMOUNT OF QIXIT CREDITS. ANY CREDIT EXAMPLES SHOWN ARE NOT AVERAGES AND ARE NOT REPRESENTATIVE OF TYPICAL USER EXPERIENCE. ACTUAL RESULTS WILL VARY SIGNIFICANTLY BASED ON THE FACTORS DESCRIBED IN THIS DISCLAIMER.

Qixit does not currently publish a platform-wide average credit earnings figure. When and if such figures are published, they will be presented in a manner that reflects the full range of user experience, including users who earn minimal or no credits in a given period.

5. Referral Credits

Affiliate and referral commissions are not currently available to new users. The referral commission program has been suspended for new users. This disclaimer will be updated when the referral program is reinstated. See Section 5.3 of the Service Agreement for the full terms of the referral program.

When the referral program is active, the following limitations apply:

Referral credits are dependent on how actively the users you refer engage with the Qixit platform
If advertisers determine that users you have referred do not meet their targeting criteria, those users will receive fewer commercial messages, reducing your referral commissions
Referral commissions are calculated on delivery fees only and are not a percentage of any cash disbursement received by referred users
Any commission figures or examples shown in referral marketing materials are hypothetical maximums, not typical or average outcomes
Qixit may suspend, modify, or discontinue the referral program at any time upon notice

6. Cost Disclosure

Participating in the Qixit platform involves certain costs that may affect the net value of credits you accumulate:

Communication credits: You may purchase communication credits to send messages and conduct platform transactions. Purchased credits are non-refundable, cannot be redeemed for cash, and are ineligible for the Redemption Program. See Section 8.2 of the Service Agreement.
Transaction fees: Qixit deducts a Transaction Fee (a percentage of each Delivery Charge or credit transfer) at the time of each transaction. See the Qixit Fee Schedule for current rates.
Redemption Program fees: If you are enrolled in the Redemption Program, Disbursements are subject to processing fees as set forth in the Qixit Fee Schedule. See the Redemption Program Terms for details.
Chargeback fees: If a buyer of your Goods disputes a transaction, you may be charged a chargeback fee. See Section 8.9 of the Service Agreement.
Dormant account fees: Accounts with no earnings for 60 or more days are subject to a maintenance fee. See Section 8.11 of the Service Agreement.

6A. Tax and Reporting Obligations for Redemption Program Participants

If you are enrolled in the Qixit Redemption Program and receive cash disbursements:

Disbursements may constitute taxable income under applicable federal and state law. The tax treatment of your disbursements depends on your individual circumstances and is not determined by how Qixit classifies them.
Qixit will issue IRS Form 1099-NEC (or such other form as required by law) to participants whose total annual disbursements equal or exceed the applicable IRS reporting threshold (currently $600 for 1099-NEC). A copy will be filed with the IRS simultaneously.
If you are subject to backup withholding, Qixit will withhold 24% of each disbursement and remit it to the IRS. Backup withholding applies if you have not provided a valid W-9 or are otherwise subject to backup withholding under IRS rules.
You are solely responsible for reporting all disbursements on your federal and state tax returns, regardless of whether you receive a 1099. Receipt of a 1099 does not determine taxability — you may have tax obligations even for amounts below the 1099 threshold.
Qixit does not provide tax advice. Consult a qualified tax advisor to understand your specific obligations.

7. No Endorsement of Third-Party Earnings Claims

Qixit does not endorse, verify, or take responsibility for any earnings claims made by third-party users, affiliates, referrers, or promoters of the Qixit platform. If you encounter claims about Qixit credit earnings or Redemption Program disbursements from a third party, those claims represent that individual’s personal experience or opinion and are not made by or on behalf of Qixit.

8. Forward-Looking Statements

Statements in this disclaimer and in Qixit marketing materials that describe anticipated platform behavior, expected credit accumulation patterns, or projected advertiser activity are forward-looking statements based on our current understanding. Actual results may differ materially due to changes in advertiser demand, platform modifications, regulatory requirements, or other factors outside Qixit’s control.

9. Entire Disclaimer; Relationship to Other Documents

This Earnings Disclaimer is part of the Qix™ legal document suite and should be read together with the Terms of Use, Service Agreement, Redemption Program Terms, Software License, and Privacy Policy. In the event of any conflict between this Earnings Disclaimer and the Service Agreement regarding the nature or redeemability of Qix Credits™, the Service Agreement controls. For matters relating to cash disbursement, the Redemption Program Terms control.

Qixit reserves the right to modify this Earnings Disclaimer at any time. Changes will be posted with a revised “Last Updated” date and, where material, communicated to registered users via their Qixit account address.
