QIX™ LEGAL DOCUMENT SUITE — INCORPORATED BY REFERENCE

This document is part of the Qix™ legal document suite. By using any Qix™ service or software you agree to ALL of the following documents, each incorporated herein by reference: Service Agreement; Redemption Program Terms; Software License; Privacy Policy; Earnings Disclaimer. For cash conversion of Qix Credits, the Redemption Program Terms control over the Service Agreement.

Qix Information Technologies LLC issues a proprietary platform reward point called Qix Credits (also referred to herein as ‘Credits’ or ‘Qixit Credits.’). All references to ‘Credits’ in this Service Agreement refer to Qix Credits.

Introduction

The Qixit.com and 2WayMicropay.com websites (collectively, the “Site”) are owned and operated by Qix Information Technologies LLC, a Florida limited liability company (“Qixit,” “we,” “us,” or “our”). “Qixit,” “PayMail,” and “2WayMicropay” and variants such as “2-Way Micropay” and related marks are trademarks of Qix Information Technologies LLC.

These Terms of Use (“Terms”) govern your access to and use of the Site. “You” and “your” mean any person or entity accessing or using the Site, whether as a visitor, registered user, subscriber, or in any other capacity.

If you subscribe to the Qixit messaging and service platform (the “Qixit Service”), your use is also governed by the Service Agreement. If you install or use the Qixit client software, your use is additionally governed by the Software License. The collection and use of your personal information is governed by our Privacy Policy. If you participate in the Qixit Credit cash-conversion feature, your participation is additionally governed by the Redemption Program Terms. In the event of conflict, these Terms control with respect to Site access and use; the Service Agreement controls with respect to the Qixit Service; and the Redemption Program Terms control with respect to cash conversion of Qix Credits.

Your continued use of the Site following any modification to these Terms constitutes your binding acceptance of the revised Terms. We reserve the right to modify these Terms at any time and will post the updated Terms with a revised “Last Updated” date.

1. Limited License

Subject to your compliance with these Terms, Qixit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for lawful personal or internal business purposes related to evaluating or using the Qixit Service. This license does not include any right to:

Reproduce, distribute, or create derivative works from the Site or its Content
Commercially exploit any portion of the Site
Use the Site for any purpose other than as expressly authorized herein

We may, at our sole discretion and without prior notice or liability, suspend, restrict, or permanently terminate your access to the Site at any time, for any reason or no reason.

2. Acceptable Use Restrictions

You agree not to, directly or indirectly:

Access or attempt to access non-public areas of the Site or its infrastructure
Circumvent, disable, or otherwise interfere with security features of the Site
Reverse engineer, decompile, disassemble, or attempt to derive source code from the Site
Use scraping, bots, crawlers, data mining tools, or automated systems to collect data (except compliant search engine indexing)
Frame, mirror, or deep-link to the Site without our express written consent
Use our trademarks, logos, or branding without our prior written permission
Interfere with, disrupt, or damage the Site, its servers, or connected networks
Introduce malware, viruses, Trojan horses, ransomware, or other malicious code
Impersonate any person, entity, or Qixit employee
Collect personal information about other users without their consent
Use the Site in violation of any applicable federal, state, local, or international law or regulation
Probe, scan, or test the vulnerability of the Site or its infrastructure

We reserve the right to investigate and prosecute violations to the fullest extent permitted by law and may cooperate with law enforcement authorities in doing so.

3. Intellectual Property

All content, software, designs, trademarks, logos, text, graphics, user interfaces, photographs, sounds, artwork, computer code, and other materials on the Site (collectively, “Content”) are owned exclusively by Qixit or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. No rights in or to the Content are granted except as expressly stated in these Terms.

Feedback Assignment

If you provide any suggestions, ideas, enhancement requests, feedback, or recommendations regarding the Site or Qixit Service (“Feedback”), you irrevocably assign to Qixit all worldwide right, title, and interest in such Feedback. Qixit may use such Feedback for any purpose without restriction or compensation to you.

Patent Rights

The technology underlying the Qixit Service is protected by multiple patents, including U.S. Patent Nos. 7,873,572; 8,346,660; 8,352,364; 8,799,164; Japan Patent 2007-500953; Indonesia Patent W00 2006 02343; EPO Patent 1721292; RUS Patent 2380754; and additional U.S. and foreign patents pending.

3A. Redemption Program — Separate Regulated Service

Qix Credits are platform points, not currency, as described in the Service Agreement. The conversion of Qix Credits to cash value — through check, bank deposit, or gift card — is a separate, opt-in service offered only to eligible users under the Redemption Program Terms. The Redemption Program is subject to identity verification, tax reporting, AML compliance, and other requirements that do not apply to general Qixit platform use. Eligibility is limited to qualified Vendors and high-volume referral participants as defined in the Redemption Program Terms.

Access to the Site and use of the general Qixit Credit platform does not automatically enroll you in the Redemption Program. Users who have not enrolled hold credits redeemable only for Goods and services within the Qixit platform with no guaranteed cash value.

THE REDEMPTION PROGRAM IS A REGULATED FINANCIAL SERVICE REQUIRING IDENTITY VERIFICATION, W-9 TAX INFORMATION, AND AML COMPLIANCE. ENROLLMENT IS NOT AUTOMATIC AND IS NOT AVAILABLE TO ALL USERS. CASH DISBURSEMENTS UNDER THE REDEMPTION PROGRAM MAY CONSTITUTE TAXABLE INCOME. SEE THE REDEMPTION PROGRAM TERMS AND CONSULT YOUR TAX ADVISOR.

4. User Representations, Warranties & Indemnification

Representations and Warranties

By accessing or using the Site, you represent and warrant that:

You are at least 18 years of age or the legal age of majority in your jurisdiction
You have the legal capacity and authority to enter into these Terms
You are not located in a jurisdiction subject to a U.S. government embargo or designated as a “terrorist supporting” country
You are not listed on any U.S. government prohibited or restricted parties list
Any information you submit to the Site is accurate, current, and complete
Your use of the Site does not violate any applicable law or regulation
Your use of the Site does not infringe or misappropriate any third-party rights

Indemnification

You agree to defend, indemnify, and hold harmless Qixit and its officers, managers, members, employees, contractors, suppliers, licensors, successors, and assigns (collectively, “Qixit Parties”) from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

Your access to or use of the Site
Your violation of these Terms
Your violation of any applicable law, rule, or regulation
Your infringement of any third-party intellectual property or other rights
Any content or information you submit, post, or transmit through the Site
Any dispute between you and any third party

5. Third-Party Links and Content

The Site may contain links to third-party websites, services, or resources. These links are provided solely for your convenience. Qixit does not control, endorse, or assume any responsibility for third-party sites, their content, privacy policies, or practices. Your access to and use of third-party sites is entirely at your own risk.

6. Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QIXIT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND QUIET ENJOYMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY QIXIT PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL QIXIT’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED FIVE U.S. DOLLARS (US $5.00), REGARDLESS OF THE LEGAL THEORY ASSERTED.

These limitations apply regardless of the form of action. Some jurisdictions limit or prohibit certain liability exclusions; in such cases liability is limited to the greatest extent permitted by applicable law.

8. Dispute Resolution and Arbitration

Mandatory Binding Arbitration

Any dispute arising out of or relating to these Terms or the Site shall be resolved exclusively through final and binding arbitration administered by the AAA under its Commercial Arbitration Rules. Arbitration shall take place in Santa Rosa County, Florida, applying Florida law consistent with the Federal Arbitration Act.

Informal Dispute Resolution

Before initiating arbitration, you agree to first contact Qixit in writing. Qixit will have thirty (30) days to respond. If unresolved within sixty (60) days of your notice, either party may proceed to arbitration.

Class Action and Collective Action Waiver

YOU AND QIXIT AGREE THAT ALL CLAIMS SHALL BE BROUGHT IN AN INDIVIDUAL CAPACITY ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING.

Jury Trial Waiver

TO THE EXTENT ANY DISPUTE IS PERMITTED TO BE HEARD IN COURT, YOU AND QIXIT IRREVOCABLY WAIVE ANY RIGHT TO A JURY TRIAL.

Exception for Injunctive Relief

Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or enjoin infringement of intellectual property rights or breach of any confidentiality obligation.

9. DMCA Copyright Policy

If you believe material on the Site infringes your copyright, please submit a written DMCA notice to our Agent containing: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the infringing material and its location; (4) your contact information; (5) a good faith statement of unauthorized use; and (6) a statement under penalty of perjury that the information is accurate and you are authorized to act.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law principles. Subject to the mandatory arbitration provision, any permitted court action shall be brought exclusively in the state or federal courts of Santa Rosa County, Florida.

11. Force Majeure

Qixit shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications outages, infrastructure failures, or cyberattacks.

12. Electronic Communications Consent

By using the Site, you consent to receive electronic communications from Qixit, including notices, disclosures, agreements, and other information. You agree that all communications provided electronically satisfy any legal requirement that such communications be in writing, to the fullest extent permitted by applicable law.

13. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without Qixit’s prior written consent. Any purported assignment in violation of this section is null and void. Qixit may freely assign these Terms without restriction or prior notice, including in connection with any merger, acquisition, reorganization, or sale of assets.

14. Time Limitation on Claims

ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER IT ACCRUES OR IT IS PERMANENTLY AND IRREVOCABLY BARRED, REGARDLESS OF LEGAL THEORY.

15. General Provisions

Entire Agreement

These Terms, together with the Service Agreement, Redemption Program Terms, Software License, Privacy Policy, and Earnings Disclaimer, each of which is incorporated herein by reference, constitute the entire agreement between you and Qixit with respect to the Qix™ platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible.

No Waiver

Qixit’s failure or delay in exercising any right shall not operate as a waiver thereof.

Attorneys’ Fees

In any action to enforce these Terms in which Qixit substantially prevails, you agree to pay Qixit’s reasonable attorneys’ fees, court costs, and other litigation expenses.

No Third-Party Beneficiaries

These Terms are for the sole benefit of Qixit and you. Nothing herein confers any legal or equitable right upon any third party.

Export Controls

You agree to comply with all applicable U.S. export control laws and regulations. You represent that you are not a national of any country subject to U.S. economic sanctions and are not otherwise prohibited from receiving or using the Site.
