IMPORTANT: THE QIXIT REDEMPTION PROGRAM IS A SEPARATE, OPT-IN SERVICE THAT ALLOWS ELIGIBLE USERS TO CONVERT QIXIT CREDITS TO CASH VALUE. ENROLLMENT IS NOT AUTOMATIC. PARTICIPATION REQUIRES IDENTITY VERIFICATION, SUBMISSION OF IRS FORM W-9, AND AGREEMENT TO AML COMPLIANCE PROCEDURES. CASH DISBURSEMENTS UNDER THIS PROGRAM MAY CONSTITUTE TAXABLE INCOME. CONSULT YOUR TAX ADVISOR BEFORE ENROLLING.
THIS DOCUMENT CONTROLS OVER THE SERVICE AGREEMENT WITH RESPECT TO ALL MATTERS RELATING TO CASH CONVERSION OF QIXIT CREDITS. FOR ALL OTHER MATTERS, THE SERVICE AGREEMENT AND OTHER QIX™ LEGAL SUITE DOCUMENTS APPLY.
These Redemption Program Terms (“Redemption Terms”) govern the Qixit Credit cash-conversion service (the “Redemption Program”) offered by Qix Information Technologies LLC (“Qixit,” “we,” “us,” or “our”) to eligible Qixit Service users. The Redemption Program is a separate financial service distinct from the general Qixit platform credit system described in the Service Agreement. General platform use, credit accumulation, and credit-for-goods exchanges are governed solely by the Service Agreement and are not affected by these Redemption Terms.
1. Nature of the Redemption Program
The Redemption Program provides a mechanism by which eligible Qixit users may request conversion of qualifying Qixit Credits to cash value, disbursed by check, ACH bank deposit, or qualifying gift card (each a “Disbursement”), subject to the eligibility requirements, limits, fees, and compliance obligations set forth in these Redemption Terms.
The Redemption Program is structured as a separate financial service layer operating alongside the general Qixit credit platform. The general Qixit credit platform remains a closed-loop points system in which credits have no cash value. Only credits that have been expressly approved for conversion in a given payment period pursuant to these Redemption Terms are treated as having cash-conversion value, and only for enrolled users.
QIXIT MAKES NO REPRESENTATION THAT THE REDEMPTION PROGRAM CONSTITUTES OR DOES NOT CONSTITUTE MONEY TRANSMISSION UNDER APPLICABLE FEDERAL OR STATE LAW. QIXIT RESERVES THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE THE REDEMPTION PROGRAM AT ANY TIME IF REQUIRED BY APPLICABLE LAW OR REGULATORY GUIDANCE, WITH NOTICE TO ENROLLED USERS.
2. Eligibility
2.1 Eligible User Categories
Redemption Program enrollment is available only to users who fall within one or more of the following categories, as determined by Qixit in its sole discretion:
- Qualified Vendors: users who have actively sold Goods through the Qixit platform and have accumulated qualifying credits from Goods sales meeting the minimum threshold specified in Section 5.1
- High-Volume Content Merchants: users who sell digital content, subscriptions, or recurring services through the Qixit platform and generate consistent monthly credit volumes meeting the threshold in Section 5.1
- High-Volume Referral Participants: users who have generated qualifying referral commissions under an active Qixit referral program meeting the threshold in Section 5.1
Enrollment is not available to users whose credit balances consist solely of: (a) purchased communication credits; (b) Vendor Credits issued by a third-party Vendor; or (c) credits received solely from Delivery Charges on personal messages. These credit types are specifically excluded from the Redemption Program.
2.2 Residency and Sanctions Requirements
Enrollment in the Redemption Program is available only to:
- Natural persons who are U.S. citizens or legal residents or with a valid U.S. mailing address
- Business entities with a valid Employer Identification Number (EIN)
- Persons and entities that are not located in, organized under the laws of, or owned or controlled by nationals of any country subject to comprehensive U.S. government sanctions, including Cuba, Iran, North Korea, and Syria
- Persons and entities not listed on the OFAC Specially Designated Nationals (SDN) list, the BIS Entity List, or any other applicable U.S. government restricted parties list
Non-U.S. persons and entities are not eligible for Redemption Program enrollment at this time. Qixit reserves the right to expand eligibility in the future subject to applicable laws and regulatory requirements.
2.3 Account Standing Requirements
To be eligible for enrollment and to remain enrolled, you must:
- Have an Account in good standing with no pending suspension, restriction, or investigation
- Have no unresolved chargeback disputes, fraud investigations, or compliance holds on your Account
- Have complied with the single-account requirement in Section 1.2 of the Service Agreement
- Have not been previously terminated from the Redemption Program for cause
3. Enrollment Process
3.1 Application
To apply for Redemption Program enrollment, eligible users must submit an enrollment application through the Qixit platform. Qixit will review applications and notify applicants of approval or denial within a reasonable time. Qixit reserves the right to approve or deny any application in its sole discretion without obligation to provide a reason for denial.
3.2 Identity Verification
All Redemption Program applicants must successfully complete Qixit’s identity verification process before enrollment is confirmed. Identity verification requires submission of:
- Government-issued photo identification (e.g., driver’s license, passport, or state ID)
- Date of birth
- Current residential address matching the address of record on the Account
- Social Security Number (for natural persons) or Employer Identification Number (for business entities)
- Such additional documentation as Qixit may require to satisfy Customer Identification Program (CIP) obligations under the Bank Secrecy Act
Identity information will be processed and stored in accordance with the Privacy Policy, including the additional disclosures in Section 13A of the Privacy Policy. Identity information may be verified through third-party identity verification services and may be screened against government watchlists including the OFAC SDN list.
3.3 W-9 / Tax Information Collection
Prior to any Disbursement, all Redemption Program participants must submit a completed and signed IRS Form W-9 (Request for Taxpayer Identification Number and Certification) or, where applicable, IRS Form W-8BEN. Qixit will not process any Disbursement until a valid tax form has been received and accepted. Submission of false tax information is a federal crime. By submitting your tax form, you certify under penalty of perjury that the information provided is true and accurate.
3.4 Program Agreement
Enrollment requires your affirmative acceptance of these Redemption Terms through the Qixit platform enrollment interface. Acceptance constitutes a legally binding agreement between you and Qixit governing all Disbursements processed under the Redemption Program.
4. AML Compliance Obligations
4.1 Qixit AML Program
The Redemption Program is subject to Qixit’s Anti-Money Laundering (AML) compliance program, which is designed to meet applicable Bank Secrecy Act (BSA) requirements. As a condition of enrollment and continued participation, you agree to cooperate with Qixit’s AML compliance procedures, including providing additional information or documentation upon request.
4.2 Suspicious Activity
Qixit reserves the right to delay, suspend, or refuse any Disbursement if Qixit has reason to believe, in its sole discretion, that the Disbursement involves suspicious activity, potential money laundering, fraud, or any other illegal activity. In such cases, Qixit may, and in certain circumstances is legally required to, file a Suspicious Activity Report (SAR) with FinCEN. The filing of a SAR is confidential and Qixit is legally prohibited from disclosing to you whether a SAR has been filed.
4.3 Prohibited Uses
The Redemption Program may not be used to:
- Launder proceeds of criminal activity
- Evade taxes or financial reporting obligations
- Circumvent OFAC sanctions or export controls
- Structure transactions to avoid BSA reporting thresholds
- Transfer value on behalf of a third party (the enrolled user must be the beneficial owner of all credits being converted)
Violation of any prohibition in this Section 4.3 is a material breach of these Redemption Terms and may be reported to relevant law enforcement and regulatory authorities.
5. Disbursement Mechanics
5.1 Minimum Threshold
The minimum credit balance required to submit a Disbursement request is $25.00 (twenty-five U.S. dollars in credit value). Qixit reserves the right to adjust this threshold upon thirty (30) days’ notice to enrolled users. Credits below the threshold will remain in your Account and may be combined with future credit accumulation until the threshold is met.
5.2 Disbursement Methods
Disbursements under the Redemption Program are available through the following methods, subject to eligibility and availability:
- ACH Direct Deposit: Disbursement to a U.S. bank or credit union account verified in your name. ACH deposits are generally processed within 3-5 business days of approval. This is the preferred and lowest-cost disbursement method.
- Check: Physical check mailed by first-class mail to your verified address of record. Checks are subject to a processing fee per the Qixit Fee Schedule. Checks not presented for payment within 90 days of issuance will be voided and the amount re-credited to your Account.
- Qualifying Gift Card: Where available, disbursement in the form of a single-retailer gift card to a Qixit-approved merchant. Gift cards redeemable for cash at banks or ATMs are not offered. The specific gift card options available and any associated fees will be disclosed in the Qixit platform at the time of your Disbursement request.
Qixit reserves the right to add, modify, or discontinue any Disbursement method at any time upon notice. You may not request Disbursement by methods not listed above, including wire transfer, cryptocurrency, or PayPal.
5.3 Disbursement Schedule
Disbursement requests must be submitted by the 15th day of January, April, July, or October. Qixit will process approved Disbursements by the last business day of the applicable month. For enrolled Vendors and merchants with quarterly qualifying credit accumulation in excess of $1,000, Qixit may, at its sole option, offer accelerated disbursement schedules.
5.4 Disbursement Fees
Each Disbursement is subject to the fees set forth in the Qixit Fee Schedule applicable to the Redemption Program. Fees are deducted from the Disbursement amount before payment. Qixit may update the Disbursement fee schedule upon fourteen (14) days’ notice to enrolled users.
5.5 Eligible Credits
Only the following credit types are eligible for conversion under the Redemption Program:
- Credits earned from sales of Goods to other Qixit users
- Credits earned from Delivery Charges on commercial messages from Approved Advertisers
- Credits earned as referral commissions under an active Qixit referral program (when available)
The following credit types are expressly ineligible for Disbursement regardless of enrollment status:
- Purchased communication credits
- Vendor Credits issued by a third-party Vendor
- Credits that are subject to a pending chargeback, reversal, or compliance hold
- Credits that are within the reserve amount held by Qixit under Section 8.6 of the Service Agreement
5.6 Reserves
Qixit will maintain the reserve described in Section 8.6 of the Service Agreement before calculating the amount eligible for Disbursement. The reserve is not eligible for Disbursement during any period in which it is held. Qixit may adjust the reserve percentage at any time upon notice.
5.7 QNAA Calculation for Redemption Program Participants
The Quarterly Net Amount Available (QNAA) for Disbursement equals: eligible credit balance at the end of the prior quarter, minus any purchases of Goods and/or communication credits since the end of the prior quarter through the Disbursement-processing date, minus the applicable reserve, minus any outstanding Disbursement fees.
6. Tax Reporting and Withholding
6.1 1099 Reporting
Qixit will issue IRS Form 1099-NEC (or such other form as may be required by applicable law) to any Redemption Program participant whose total Disbursements in a calendar year equal or exceed the applicable IRS reporting threshold (currently $600 for 1099-NEC, subject to change). The 1099 will be issued by January 31 of the year following the calendar year in which the Disbursements were made and will be filed with the IRS simultaneously.
6.2 Backup Withholding
If you fail to provide a valid Taxpayer Identification Number on your W-9, provide an incorrect TIN, or are otherwise subject to backup withholding under IRS rules, Qixit is required to withhold 24% of each Disbursement and remit the withheld amount to the IRS. Backup withholding cannot be avoided by declining to provide tax information — rather, failure to provide a valid W-9 will prevent Disbursement entirely until a valid W-9 is received.
6.3 Your Tax Obligations
Qixit does not provide tax advice. Whether and to what extent Disbursements received under the Redemption Program constitute taxable income is a matter to be determined by you and your tax advisor. You are solely responsible for reporting and paying all taxes on Disbursements received. Qixit’s issuance of a 1099 does not constitute tax advice, a determination of the taxability of any amount, or a representation that all taxable amounts have been reported.
6.4 Changes in Tax Law
Tax reporting thresholds and requirements applicable to the Redemption Program are subject to change by the IRS and Congress. Qixit will update these Redemption Terms and its practices to comply with applicable law as it changes. The most current tax reporting thresholds and procedures will be disclosed in the Qixit platform and communicated to enrolled users.
7. Risk of Reversal and Chargebacks
Credits approved for Disbursement but not yet disbursed remain subject to reversal in the event of a chargeback, fraud determination, or compliance hold applied to the underlying transactions. Qixit will notify you of any reversal affecting a pending Disbursement. If a Disbursement has already been processed and the underlying credits are subsequently reversed, you agree to reimburse Qixit for the full Disbursement amount plus any associated chargeback fees through any means available to Qixit, including offset against future Disbursements or Account balances.
8. Program Suspension and Termination
8.1 Suspension of Enrollment
Qixit may suspend your Redemption Program enrollment at any time without notice if: (a) Qixit has reason to believe you have violated these Redemption Terms, the Service Agreement, or any applicable law; (b) a compliance hold, fraud investigation, or chargeback dispute is pending on your Account; (c) you have failed to maintain current and accurate tax information on file; or (d) Qixit is required to do so by applicable law or regulatory guidance.
8.2 Termination for Cause
Qixit may permanently terminate your Redemption Program enrollment, in addition to any other available remedies, if: (a) you have provided false identity or tax information; (b) you have used the Redemption Program for any prohibited purpose under Section 4.3; (c) you have registered or operated more than one Account in violation of Section 1.2 of the Service Agreement; or (d) Qixit determines that your enrollment creates an unacceptable regulatory risk or compliance exposure for Qixit.
8.3 Program Discontinuation
Qixit reserves the right to discontinue the Redemption Program in its entirety at any time upon thirty (30) days’ notice to enrolled users, or immediately if required by applicable law or regulatory action. Upon discontinuation, any pending Disbursement requests that have been approved prior to the notice date will be honored. Credits that have not yet been approved for Disbursement at the time of discontinuation will revert to their status as standard Qixit platform credits with no cash-conversion value.
9. Dispute Resolution
Disputes arising under or relating to these Redemption Terms are subject to the mandatory arbitration, class action waiver, and jury trial waiver provisions set forth in Section 17.3 of the Service Agreement, which are incorporated herein by reference. You must raise any dispute regarding a specific Disbursement within sixty (60) days of the Disbursement date or the date you knew or should have known of the alleged error, whichever is earlier, or such dispute is permanently waived.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QIXIT’S TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE REDEMPTION TERMS FOR ALL CLAIMS OF ANY NATURE SHALL NOT EXCEED THE TOTAL AMOUNT OF DISBURSEMENTS ACTUALLY PAID TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $500.00, WHICHEVER IS LESS. THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY ASSERTED AND EVEN IF QIXIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The limitation in this Section 10 is separate from and in addition to the general limitation of liability in Section 14 of the Service Agreement. For claims arising solely under these Redemption Terms, this Section 10 controls.
11. Regulatory Compliance and Program Modifications
The Redemption Program is subject to applicable federal and state financial services laws and regulations, including but not limited to the Bank Secrecy Act, OFAC regulations, IRS information reporting requirements, and applicable state money transmission laws. Qixit reserves the right to modify these Redemption Terms, the Disbursement methods available, the eligibility criteria, and the fee schedule at any time to the extent required or advisable to comply with applicable law or regulatory guidance, upon notice to enrolled users.
If any provision of these Redemption Terms is found to be inconsistent with applicable law, that provision will be modified or removed to the minimum extent necessary to achieve compliance. The remaining provisions will continue in full force and effect.
12. Indemnification
You agree to indemnify, defend, and hold harmless Qixit and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, penalties, fines, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your violation of these Redemption Terms; (b) false or inaccurate information provided in connection with your enrollment or W-9 submission; (c) your violation of any applicable tax, AML, sanctions, or financial services law; or (d) any third-party claim arising from your receipt of a Disbursement.
13. Privacy
The collection, use, storage, and sharing of personal information in connection with your Redemption Program enrollment and Disbursements is governed by the Privacy Policy, including the additional disclosures in Section 13A of the Privacy Policy regarding W-9 collection, 1099 reporting, identity verification, AML compliance, and payment processor data sharing. By enrolling in the Redemption Program, you acknowledge and consent to the data processing practices described in Section 13A of the Privacy Policy.
14. Entire Agreement; Relationship to Other Documents
These Redemption Terms, together with the Terms of Use, Service Agreement, Software License, Privacy Policy, and Earnings Disclaimer, constitute the complete agreement between the parties with respect to the Redemption Program. These Redemption Terms control over the Service Agreement with respect to all matters relating to cash conversion of Qixit Credits. For all other matters, the Service Agreement and the balance of the Qix™ legal suite apply.
15. Amendments and Updates
Qixit reserves the right to amend these Redemption Terms at any time. Material amendments will be communicated to enrolled users by message to their Qixit account address at least fourteen (14) days before the effective date, unless a shorter notice period is required by applicable law or regulatory action. Your continued participation in the Redemption Program after the effective date of any amendment constitutes acceptance of the amended terms. If you do not agree to an amendment, you must notify Qixit and withdraw from the Redemption Program before the effective date.
